Rs 436 crore in TVS projects involving Chandrasekaran-linked firm draw scrutiny
A business relationship between Hanno One Warehousing, a company linked to Tata Sons Chairman N Chandrasekaran’s wife Lalitha and son Pranav, and the TVS Group has expanded into projects in Karnataka and Tamil Nadu, with documents indicating a combined project value of around Rs 436 crore.
Hanno One Warehousing was incorporated in March 2025. The company’s transactions with TVS Motor have now brought renewed attention to issues surrounding corporate disclosures, conflict-of-interest management and governance practices.advertisement❮❯ Read Full StoryTWO PROJECTS ACROSS KARNATAKA, TAMIL NADUAccording to minutes of the Karnataka Land Audit Committee, Hanno One Warehousing sought 35 acres in the Immavu Industrial Area near Mysuru in November 2025.
The proposed project was described as an industrial park for auto-component manufacturing and supply to TVS Motor and its Tier-1 suppliers. The project was estimated to involve an investment of around Rs 330 crore.
The Karnataka Industrial Areas Development Board subsequently allotted land for the project, with the land valued at approximately Rs 27 crore.
The Karnataka proposal came months after a separate transaction in Tamil Nadu.
In June 2025, TVS Motor leased around 17 acres at Uddanapalli to Hanno One. Documents filed with HDFC Bank described the approximately 3.3-lakh-square-foot facility as the “TVS Motors Warehouse Project”, with an estimated project cost of Rs 106.3 crore.
The estimated values of the two projects together stand at around Rs 436 crore.WHY THE TVS-TATA CONNECTION MATTERS
The relationship has attracted attention because of Venu Srinivasan, Chairman Emeritus of the TVS Group. Srinivasan is also a Tata Trusts nominee on the Tata Sons board and serves on its Nomination and Remuneration Committee.
The committee has a role in evaluating the performance and remuneration of the Tata Sons chairman. In September 2026, Srinivasan also voted in favour of Chandrasekaran’s next term as Tata Sons chairman.
The overlapping institutional and business relationships have raised questions about how potential conflicts of interest and family-linked business interests are disclosed and managed.WHAT DOES THE TATA CODE SAY?
The Tata group’s Code of Conduct calls for the identification and disclosure of actual or potential conflicts involving immediate family interests.
Tata Sons has said that the formation of Hanno One was disclosed and that its transactions with TVS did not require separate disclosure to the Tata Sons board.
The issue, therefore, extends beyond whether the transactions were permissible. It also concerns whether the scale and nature of the continuing business relationship between Hanno One and TVS warranted additional disclosure or scrutiny, particularly given Srinivasan’s governance role at Tata Sons.GOVERNANCE QUESTIONS GAIN FOCUS
With projects proposed or undertaken in two states and a combined estimated value of around Rs 436 crore, the relationship represents a broader business association rather than an isolated transaction.
The developments have brought renewed focus on how major corporate groups manage family interests, related-party relationships and potential conflicts when individuals connected to one business institution also hold governance positions in another.
The transactions are likely to remain under scrutiny as questions around disclosure standards and corporate governance continue to be examined.- Ends
