African Alliance Insurance Plc has cleared a major hurdle in its recapitalisation drive as shareholders unanimously approved a N12bn capital raise to bolster its financial base and satisfy strict regulatory demands. The approval, granted at the company’s Extraordinary General Meeting in Lagos on Wednesday, empowers the board to deploy flexible funding options to restore trading vitality and secure long-term growth. The recapitalisation initiative is aimed at positioning the legacy life insurer to achieve full compliance with the provisions of the Nigerian Insurance Industry Reform Act 2025, alongside guidelines set by the National Insurance Commission. Under the approved resolutions, the Board is empowered to execute the capital injection through various channels, including private placement, rights issue, public offer, asset sales, or zero-coupon convertible subordinated debt notes. The resolution also grants powers to the directors to determine conversion terms, allot shares, and revalidate legacy shares where necessary. The Coordinator Emeritus of Independent Shareholders Association of Nigeria, Sir Sunny Nwosu, affirmed the commitment of retail investors to participate in the capital raise, while advising the company to broaden its marketing approach. “We shall support everything you have brought today; this is a good joint resolution and should be taken by a single motion. We are ready to participate in the offer. However, you must expand the distribution channel to ensure you appoint stockbrokers and other related market operators across the board, not just an issuing house, so that money can be effectively mobilised from shareholders to guarantee the success of the offer,” Nwosu stated. In the same vein, National Coordinator of the Shareholders Association of Nigeria, Moses Igbrude, charged the Board to onboard core investors who demonstrate genuine long-term commitment to the brand. Igbrude advised, “Where you identify a core investor, ensure you identify people who will live with and build the company—not people who will come in and stall progress.
